INTRODUCTION EBATE SYSTEMS EMERGE AS A RESULT EITHER OF THE UNI- lateral act of supplier or of the conformity between the intentions of the supplier and the buyer during trade at any stage of production and distribution chains. The reason why the rebate systems fall under the scope of competition law is the effects of these practices on the market. In some cases, rebate systems enable consumers to purchase goods and services with a lower price by increasing their options. In some other cases, the price reduction emerging from the rebate systems may result with predatory pricing and/or with discrimination among the buyers, and causes distortion on the low-end markets. The intervention of competition law on rebate systems emerges on those occasions. Rebate systems may emerge in many different ways in business life and may have competition distorting effects. Rebate systems under Turkish Competition Law practice may analyzed under Article 4 which prohibits agreements distorting competition or under Article 6 which prohibiting the abuse of the dominant position, of the Law on Protection of Competition numbered 4054 (hereinafter referred to as “Competition Law”). In practice, rebate systems generally appear in cases where there is a vertical agreement between the supplier and the buyer. Within the scope of this article, doctrinal information on the classification of rebate systems is included and a detailed analyze regarding the rebate systems by referring to Competition Board decisions which are in relation with rebate systems under Competition Law. 2. CLASSIFICATION OF THE REBATE SYSTEMS Rebate systems are classified in the doctrine with according to different criteria. Above those, there are some rebates classified as (i) classification based on the number of markets affected by rebate, (ii) classification as to the extent of the rebate, (iii) classification as to the ratio of the rebate, (iv) classification as to the targets of the rebate and (v) classification as to the effect of rebate on each individual buyer. Under the scope of “the classification based on the number of markets affected by rebate”, If rebate systems are entailed to the fulfillment of the condition of purchasing from a single market by the buyer, such rebate is called “single-product rebate”, while the condition of purchase made for the buyer includes more than one product market or geographical market, it is referred to as “multi-product rebate”. As an example of multi-product rebate, placing a specific premium on the sales of a car seller, on condition that he will sell certain amount of cars for each model in a 1. İndirim sistemleri, bazı durumlarda tüketicilerin tercih seçeneklerini artırarak, mal veya hizmetleri daha ucuza satın alabilmelerini sağlamaktadır. Bazı durumlarda ise indirim sistemlerinin fiyatları düşürmesi nedeniyle yıkıcı fiyat etkisi ortaya çıkmakta, bazı durumlarda alıcılar arasında ayrımcılığa yol açmakta ve alt pazarlarda rekabetin bozulmasına sebep olmaktadır. Rekabet hukukunun indirim sistemlerine müdahalesi de bu tür durumlarda gündeme gelmektedir. İndirim sistemleri, ticari hayatın içerisinde çok farklı şekillerde ortaya çıkabilmekte ve rekabeti bozucu etkiye sahip olabilmektedir. Türk rekabet hukuku uygulamasında indirim sistemleri, 4054 sayılı Rekabetin Korunması Hakkında Kanun’un (“4054 sayılı Kanun”) rekabeti bozucu anlaşmaları yasaklayan 4. maddesi kapsamında ya da hâkim durumun kötüye kullanılmasını yasaklayan 6. maddesi kapsamında incelenebilmektedir. Uygulamada indirim sistemlerinin çoğunlukla sağlayıcı ve alıcı arasındaki dikey anlaşma çerçevesinde ortaya çıktığı görülmektedir. Aşağıda, doktrinde indirim sistemlerinin sınıflandırılmasına ilişkin bilgiler verilmiş olup, 4054 sayılı Kanun kapsamında indirim sistemlerine ilişkin Rekabet Kurulu kararlarına atıf yapılarak indirim sistemlerine ilişkin ayrıntılı bir inceleme yapılmıştır. 2. İNDİRİM SİSTEMLERİNİN SINIFLANDIRILMASI İndirim sistemleri doktrinde farklı kriterlerde sınıflandırılmaktadır. Bu sınıflandırmalar arasında, (i) indirimin etkili olduğu pazar sayısına göre sınıflandırma, (ii) indirimin kapsamına göre sınıflandırma, (iii) indirim oranına göre sınıflandırma, (iv) indirimin hedeflerine göre sınıflandırma ve (v) indirimin her bir alıcı bazındaki etkisi gibi sınıflandırmalar yer almaktadır. İndirimin etkili olduğu pazar sayısına göre sınıflandırmada, indirim sistemleri alıcının tek bir pazara ilişkin alım koşulunu yerine getirmesi şartına bağlanmışsa, bu tür indirimlere tek ürün indirimleri, alıcıya getirilen alım şartı birden çok ürün pazarını ya da coğrafi pazarı kapsıyorsa, bu durumda söz konusu indirimlere paket indirimleri adı verilmektedir.2 Paket indirimine örnek olarak bir otomobil bayisine belirli bir miktarın tüm modellerinde aylık belirli miktarlarda satış yapması karşılığında prim verilmesi verilebilir. Tek ürün indiriminin en belirgin örneği de, bir GSI | 31 PART 5 month, may be given. The most distinct example of singleproduct rebates is placing a premium for a tire seller on the condition of selling certain amount of specific type of tire in a year. Under the scope of “the classification as to the extent of the rebate”, rebate types, such as retroactive rebates and top slice rebates exist. The most distinct example for the retroactive discounts is placing 5% premium on the sales of a car dealer on the condition that he will sell at least up to fifty cars in a month. At the point where the dealer sells the fiftieth car, he earns 5% premium for every sale which he made or will make in that very month. Placing 5% premium for each car the car dealer sells after selling twenty cars may be given as an example for the top slice rebates. Within scope of “classification as to the ratio of the rebate”, there are rebate types such as progressive rebate and fixed ratio rebate systems. As an example for progressive rebate system, giving 1% discount for a hundred to four hundred units, 1.5% discount for four hundred to eight hundred units may be given. Single rate of discount has been executed in case of a fixed ratio rebate system. Classification as to the targets of the rebate may emerge as standard targeted rebates and individualized rebates. As an example, placing a premium by the food company for the retailer, provided that at least 30% of the total sale of the retailer takes place in a month is his footwear company’s product, constitutes an individualized rebate. Example of putting an advertisement by a car company indicates that they will place a 5% premium for their car dealers who sells a hundred cars per month may be given for standard target rebates. As “classification as to the effect of rebate on each individual buyer”, quantity discounts and loyalty rebates may be named. In case of where there is the implementation of loyalty rebate, it is seen that the competition is severally prevented by causing exclusion of the competitor preventing the entrance of competitor to the market. Granted rebate for exclusivity giving on the condition that the buyer shall fulfill his all needs from the supplier, in that way, preventing the purchase from the competitor suppliers may be given as an example of loyalty rebates. Quantity discounts are the discounts which are only given depending on the quantity of the purchase and being offered to all the customers under equal conditions and for equal amounts. 3. REBATE SYSTEMS UNDER ARTICLE 4 OF THE COMPETITION LAW AND RELEVANT COMPETITION BOARD DECISIONS Although there is no phrase regarding the rebate systems ARTICLETTER | SUMMER 2013 lastik bayisinin belirli bir lastik türünden yıllık belirli miktarda satış yapması karşılığında prim kazanmasıdır. İndirimin kapsamına göre sınıflandırmada, geriye dönük indirimler ve üst dilim indirimleri gibi indirim türleri yer almaktadır. Geriye dönük indirimin en belirgin örneği bir otomobil bayisine aylık en az 50 otomobil satması halinde %5 oranında bir prim verilmesidir. Bayi, 50. otomobili satınca o ay içinde yapmış olduğu ve yapacağı tüm satışlar üzerinden %5 oranında bir prim kazanmaktadır. Bir otomobil bayisine her ay 20 otomobilin üzerinde sattığı her otomobil üzerinden %5’lik bir primin verilmesi, üst dilim indirimine örnek olarak verilebilir.3 İndirim oranına göre sınıflandırmada ise artan oranlı indirim sistemleri ve sabit oranlı indirim sistemlerinin varlığından söz edilmektedir.4 Artan oranlı indirim sistemine örnek olarak, 100-400 birim için %1’lik, 400-800 birim için %1,5’luk indirim verilmesi belirtilebilir. Sabit oranlı indirim sistemlerinde ise tek bir indirim oranı uygulanmaktadır. İndirimin hedeflerine göre sınıflandırmalar, standart miktar hedefli indirimler ve pazar payı indirimleri gibi şekillerde görülebilmektedir.5 Örneğin, bir gıda firmasının perakendecilere aylık toplam gıda satışlarının en az %30’nun kendi ürünlerinden oluşması kaydıyla prim vermesi bir pazar payı indirimidir. Standart miktar hedefli indirimlere örnek olarak da, bir otomobil firmasının aylık 100 adet otomobil satışı yapan bayilerine %5 prim vereceğini ilan etmesi verilebilir. İndirimin her bir alıcı bazındaki etkilerine göre sınıflandırmada, miktar indirimleri ve sadakat indirimleri de uygulama alanı bulmaktadır. Sadakat indirimlerinde ise, pazarın rakiplere kapatılarak, rakiplerin dışlanmasına yol açmak suretiyle rekabetin önemli ölçüde engellendiği durumlarla karşılaşıldığı gözlenmiştir. Örneğin alıcının tüm ihtiyaçlarını indirim veren sağlayıcıdan temin etmesi karşılığında verilen ve böylece rakip sağlayıcı firmalardan alım yapmasını yasaklayan münhasırlık karşılığı verilen indirimler sadakat indirimlerine örnek verilebilmektedir.6 Miktar indirimleri sadece alım yapılan miktara bağlı olarak verilen ve tüm müşterilere eşit koşullarda ve objektif miktarlar için önerilen indirimlerdir.7 3. 4054 SAYILI KANUNUNUN 4. MADDESİ KAPSAMINDA İNDİRİM SİSTEMLERİ VE İLGİLİ REKABET KURULU KARARLARI 4054 sayılı Kanunun 4. maddesinde doğrudan indirim sistemlerine ilişkin bir ibare bulunmamakla birlikte, rekabeti bozucu anlaşmalar yasaklanmaktadır. Uygulamada indirim sistemlerinin çoğunlukla sağlayıcı ve alıcı arasın- in the text of Article 4 of the Competition Law, agreements distorting competition are prohibited under this article. In practice, it is seen that rebate systems generally appear in cases where there is a vertical agreement between the supplier and the buyer. It is stipulated in Article 4 of the Competition Law sub-headed as “Agreements, Concerted Practices and Decisions Limiting Competition” that agreements and concerted practices between undertakings, and decisions and practices of associations of undertakings which have as their objective or effect or likely effect the prevention, distortion or restriction of competition directly or indirectly in a particular market for goods or services are illegal and prohibited. The cases set forth in the relevant article are, a) fixing the purchase or sale price of goods and services, elements such as cost and profit which form the price, and any terms of purchase or sale, b) partitioning markets for goods or services, and sharing or controlling all kinds of market resources or elements, c) controlling the amount of supply or demand in relation to goods and services, or determining them outside the market, d) complicating and restricting the activities of competing undertakings, or excluding firms operating in the market by boycotts or other behavior, or preventing potential new enterer, e) except exclusive dealing applying different terms to persons with equal status for equal rights, obligations and acts, f ) contrary to the nature of the agreement or commercial usages, obliging to purchase other goods or services together with a good or service, or trying a good or service demanded by purchasers acting as intermediary undertakings to the condition of displaying another good or service by the purchaser, or putting forward terms as to the resupply of a good or service supplied. In practice, especially where there is a distribution agreement which is concluded between the supplier and buyer and some certain systems under the name of giving discount, free product, promotion and incentive to the seller by the supplier are regulated within, effects of such provisions distorting competition are brought to the agenda. Among the decisions of the Competition Board, decisions where rebate systems are analyzed in accordance with the Article 4 of the Competition Law are the ones which are mostly related to the issues of lifting the exemptions provided in accordance with the Communiqué on the Block 2'*.#)(-ɠ,!,#(!ɠ."ɠ,.#&ɠ!,'(.-ɠ(/',ɠ 2002/2 and of not granting one. The exemptions and the conditions for an agreement as to Article 4 to be granted exemption are regulated under Article 5 of the Competition Law. In one of the decisions of the Competition Board rendered daki dikey anlaşmalar çerçevesinde ortaya çıktığı görülmektedir. 4054 sayılı Kanunun “Rekabeti Sınırlayıcı Anlaşma, Uyumlu Eylem ve Kararlar” başlıklı 4. maddesinde, belirli bir mal veya hizmet piyasasında doğrudan veya dolaylı olarak rekabeti engelleme, bozma ya da kısıtlama amacını taşıyan veya bu etkiyi doğuran yahut doğurabilecek nitelikte olan teşebbüsler arası anlaşmalar, uyumlu eylemler ve teşebbüs birliklerinin bu tür karar ve eylemlerinin hukuka aykırı ve yasak olduğu belirtilmiştir. İlgili maddedeki haller, a) mal veya hizmetlerin alım ya da satım fiyatının, fiyatı oluşturan maliyet, kar gibi unsurlar ile her türlü alım yahut satım şartlarının tespit edilmesi, b) mal veya hizmet piyasalarının bölüşülmesi ile her türlü piyasa kaynaklarının veya unsurlarının paylaşılması ya da kontrolü, c) mal veya hizmetin arz ya da talep miktarının kontrolü veya bunların piyasa dışında belirlenmesi, d) rakip teşebbüslerin faaliyetlerinin zorlaştırılması, kısıtlanması veya piyasada faaliyet gösteren teşebbüslerin boykot ya da diğer davranışlarla piyasa dışına çıkartılması yahut piyasaya yeni gireceklerin engellenmesi, e) münhasır bayilik hariç olmak üzere, eşit hak, yükümlülük ve edimler için eşit durumdaki kişilere farklı şartların uygulanması, f ) anlaşmanın niteliği veya ticari teamüllere aykırı olarak, bir mal veya hizmet ile birlikte diğer mal veya hizmetin satın alınmasının zorunlu kılınması veya aracı teşebbüs durumundaki alıcıların talep ettiği bir malın ya da hizmetin diğer bir mal veya hizmetin de alıcı tarafından teşhiri şartına bağlanması ya da arz edilen bir mal veya hizmetin tekrar arzına ilişkin şartların ileri sürülmesidir. Uygulamada, özellikle sağlayıcı ile alıcı arasında düzenlenen dağıtım sözleşmelerinde, sağlayıcının alıcıya indirim, bedelsiz ürün verme, promosyon ve teşvik adı altında belirli sistemlere yönelik hükümler koyduğu görülmekte ve bu hükümlerin rekabeti bozucu etkisi gündeme gelmektedir. Rekabet Kurulu kararları arasında, 4054 sayılı Kanunun 4. maddesi kapsamında indirim sistemlerinin değerlendirildiği kararlar, çoğunlukla 2002/2 sayılı Dikey Anlaşmalara İlişkin Grup Muafiyeti Tebliği kapsamında yararlandıkları muafiyetin geri alınması veya muafiyet tanımama konulu kararlar olduğu gözlenmektedir. Muafiyet kavramı 4054 sayılı Kanunun 5. maddesinde düzenlenmiş ve 4. maddesi kapsamındaki bir anlaşmaya muafiyet tanınabilmesi için belirli şartları düzenlemiştir. Rekabet Kurulu’nun Coco-Cola Satış ve Dağıtım A.Ş. için verdiği bir Kararında8, Coca-Cola’nın ve/veya bayilerinin satış noktalarıyla imza ettikleri sözleşmelerin ve sözleşmelerde yer alan münhasırlık şartlarının ve fiilen münhasırlığa yol açan bedelsiz ürün, indirim, kota, dolap münhasırlığı gibi uygulamaların, 4054 sayılı Kanun’un 5. GSI | 33 PART 5 in relation with Coca-Cola Satis ve Dagitim A.Ş., it is decided that the agreements which Coca-Cola and/or its dealers concluded with the sales points and exclusivity clauses of those agreements and practices, which causes exclusivity ipso facto, such as free product, discount, quota, “refrigerator exclusivity” have effects which may contrary to exclusivity conditions stipulated in Article 5 of the Competition Law; thus, such agreements and practices cannot be granted any exemption. As a legal review as to exemption, it is stated within the relevant decision that the essence of sole brand agreement is to promote the buyer to satisfy the larger or the whole part of his needs for a certain product or product group from a single supplier. It is also pointed out that, even if there is no provision stipulated in agreements which causes the sale of a single brand and if there are some incentive elements that the supplier carries out, such as loyalty rebate or target rebate, the agreement should still be considered in this regard. Additionally, the Board found that, in order to prevent Coca-Cola to establish exclusivity, it should not gain an advantage stemming from the condition of reaching the specified minimum sale amount requested from the sale points, and that, by saying “advantage”, all kinds of contribution in kind and in cash such as discount, free product, signboard are being referred to. 4. REBATE SYSTEMS WITHIN SCOPE OF ARTICLE 6 OF THE COMPETITION LAW AND THE RELATED COMPETITION BOARD DECISIONS Although there is no direct clause regarding the rebate systems in Article 6 of the Competition Law, when the exemplary breach types counted in the second clause of the said article are examined in practice. It is considered that the rebate systems may be included within the scope of these all breach types. In Article 6 of the Competition Law entitled “Abuse of Dominant Position”, it is stated that; “The abuse, by one or more undertakings, of their dominant position in a market for goods or services within the whole or a part of the country on their own or through agreements with others or through concerted practices, is illegal and prohibited. Abusive cases are, in particular, as follows: a- Preventing, directly or indirectly, another undertaking from entering into the area of commercial activity, or actions aimed at complicating the activities of competitors in the market, b- Making direct or indirect discrimination by offering different terms to purchasers with equal status for the same ARTICLETTER | SUMMER 2013 maddesinde sayılan muafiyet koşullarıyla bağdaşmaz etkilere sahip olduğuna, dolayısıyla anılan sözleşmelere ve/ veya uygulamalara bireysel muafiyet tanınamayacağına karar vermiştir. İlgili Kararda, muafiyet kapsamında yapılan hukuki değerlendirmede, tek marka anlaşmalarının özünü alıcının belli bir ürün veya ürün gruplarında ihtiyacının tamamını veya önemli bir kısmını tek bir sağlayıcıdan karşılamasının teşvik edilmesi oluşturduğu belirtilmiştir. Anlaşmalarda tek marka satılmasına yol açacak herhangi bir hüküm açıkça yer almasa dahi, sağlayıcının uyguladığı sadakat indirimi, hedef indirimi gibi birtakım teşvik edici unsurlar varsa, anlaşmanın yine bu kapsamda değerlendirilmesi gerektiği belirtilmektedir. Ayrıca, Coca-Cola’nın münhasırlık yaratılmasının önüne geçilmesi için, satış noktalarına belirli bir asgari satış miktarının doldurulma- sı şartına bağlı avantajlar sağlamaması gerektiği ve burada “avantaj”la, indirim, bedelsiz ürün ve tabela, vb. her türlü ayni ve nakdi katkı kast edildiği değerlendirilmektedir. 4. 4054 SAYILI KANUNUNUN 6. MADDESİ KAPSAMINDA İNDİRİM SİSTEMLERİ VE İLGİLİ REKABET KURULU KARARLARI 4054 sayılı Kanun’un 6. maddesinde doğrudan indirim sistemlerine ilişkin bir ibare bulunmamakla birlikte, uygulamada ilgili maddenin 2. fıkrasında örnek niteliğinde sayılan ihlal türleri incelendiğinde, indirim sistemlerinin bu ihlal türlerinin tamamının kapsamına girebileceği değerlendirilmektedir. and equal rights, obligations and acts, c- Purchasing another good or service together with a good or service, or tying a good or service demanded by purchasers acting as intermediary undertakings to the condition of displaying another good or service by the purchaser, or imposing limitations with regard to the terms of purchase and sale in case of resale, such as not selling a purchased good below a particular price, d- Actions which aim at distorting competitive conditions in another market for goods or services by means of exploiting financial, technological and commercial advantages created by dominance in a particular market, e- Restricting production, marketing or technical development to the prejudice of consumers. 4054 sayılı Kanununun “hâkim durumun kötüye kullanılması” başlıklı 6. maddesinde, bir veya birden fazla teşebbüsün ülkenin bütününde ya da bir bölümünde bir mal veya hizmet piyasasındaki hâkim durumunu tek başına yahut başkaları ile yapacağı anlaşmalar ya da birlikte davranışlar ile kötüye kullanması hukuka aykırı ve yasak olduğu belirtilmiş olup, kötüye kullanma halleri, a) ticari faaliyet alanına başka bir teşebbüsün girmesine doğrudan veya dolaylı olarak engel olunması ya da rakiplerin piyasadaki faaliyetlerinin zorlaştırılmasını amaçlayan eylemler, b) eşit durumdaki alıcılara aynı ve eşit hak, yükümlülük ve edimler için farklı şartlar ileri sürerek, doğrudan veya dolaylı olarak ayırımcılık yapılması, c) bir mal veya hizmetle birlikte, diğer mal veya hizmetin satın alınmasını veya aracı teşebbüsler durumundaki alıcıların talep ettiği bir malın veya hizmetin, diğer bir mal veya hizmetin de alıcı tarafından teşhiri şartına bağlanması ya da satın alınan bir malın belirli bir fiyatın altında satılmaması gibi tekrar satış halinde alım satım şartlarına ilişkin sınırlamalar getirilmesi, d) belirli bir piyasadaki hâkimiyetin yaratmış olduğu finansal, teknolojik ve ticari avantajlardan yararlanarak başka bir mal veya hizmet piyasasındaki rekabet koşullarını bozmayı amaçlayan eylemler, e) tüketicinin zararına olarak üretimin, pazarlamanın ya da teknik gelişmenin kısıtlanması olarak düzenlenmiştir. Rekabet Kurulu’nun hâkim durumun kötüye kullanılması bağlamında indirim sistemlerine ilişkin kararları arasında Frito Lay, Ülker ve Amadeus şirketleri için verilen Kararlar yer almaktadır. Rekabet Kurulu, Frito Lay için verdiği kararda9 münhasırlık karşılığı indirim sunmasının 4054 sayılı Kanunu ihlal edip etmediğini değerlendirmiştir. Münhasırlık karşılığında sunulan indirimler değerlendirilirken uygulamanın kısa süreli olması, pazarın tamamına yayılmamış olması, rakip teşebbüslerin Frito Lay kadar etkin olmaması gibi faktörler dikkate alınarak uygulamanın pazardaki etkisinin rakip teşebbüsün dışlanmasına yol açacak düzeyde GSI | 35 PART 5 The decisions on the companies Frito Lay, Ulker and Amadeus are among the Competition Board decisions on the abuse of dominant position regarding the rebate systems. The Competition Board considered whether or not granting rebates for exclusivity breached the Competition Law with its decision rendered for Frito Lay. While evaluating the rebates granted for exclusivity factors such as the implementation being short termed, not being spread to the whole market and the competitor enterprises not being as effective as Frito Lay have been evaluated hence it was decided that this implementation is not constitute a breach. Thus, following the preliminary investigation the Competition Board determined that there is no competition distorting effect of the rebate system implemented by Frito Lay and therefore, investigation on such was decided not to be initiated. Another decision on the abuse of dominant position regarding the rebate systems rendered by the Competition Board is the Ulker decision. In the related decision, the claim of breaching the competition in related market with Private Status Agreements signed by Ulker Group and/or its distributors and selling points within the knowledge of Ulker Group Marketing Companies is mentioned. In the decision, it is stated by examining the rebate system in the private status agreement that the said system has a target rebate character and the target rebate character is defined. Target rebate is defined as a rebate applied to the buyers when the distributor reaches its determined aim of sale in a specific period. It is emphasized that the target rebates are determined as separate ratios for every slice constituted regarding the purchase amount instead of a single ratio, it is stated that in the increasing ratio target rebate if the buyer purchases an amount corresponding with the top slice it can use more rebates. In the related decision, it has been inferred that such application does not constitute an abuse by stating that there is standard rebate targets on the rebates regarding the product groups which Ulker has the market power, moreover it has been indicated by the statements of the buyers that they do not feel any pressure in order to sell more Ulker products according to the interviews made with them. Another decision on incentive bonus article regarding the “Agency Agreement” concluded between Amadeus Rezervasyon Dagitim Sistemleri A.S. and its agents with the claim of constituting breach to article 6 of the Competition Law rendered by the Competition Board. The Competition Board, in the relevant decision, held that rebate system which Amadeus granted for exclusivity to its five agents includes a small portion of the market, and that there is no reason to conduct an investigation since the agents willingly accepted this situation, furthermore, the practice ARTICLETTER | SUMMER 2013 olmadığı değerlendirilmiş ve dolayısıyla uygulamanın ihlal teşkil etmeyeceğine karar verilmiştir. Böylece, Rekabet Kurulu, önaraştırma sonucunda Frito Lay tarafından uygulanan indirim sisteminin rekabeti bozucu etkisinin olmadığı tespit edilmiş ve soruşturma açılmamıştır. Rekabet Kurulu’nun hâkim durumun kötüye kullanılması bağlamında indirim sistemlerini ele aldığı diğer bir karar Ülker için verilen karardır10. İlgili kararda, Ülker Grubu Pazarlama Şirketleri bilgisi dâhilinde Ülker Grubu ve/ veya distribütörleri tarafından satış noktaları ile imzalanan Özel Statü Müşteri sözleşmeleri ile ilgili pazarlarda rekabetin ihlal edildiği iddiası yer almaktadır. Kararda, Özel Statü Müşteri sözleşmesinde yer alan indirim sisteminin incelenerek, söz konusu sistemin hedef indirimi niteliğine sahip olduğunun görüldüğü belirtilmekte ve hedef indiriminin tanımı yapılmaktadır. Hedef indirimi, distribütörün alıcılarına belirli bir dönem için saptadığı satış hedefine ulaşmaları durumunda uygulanan indirim olarak belirtilmektedir. Söz konusu hedef indiriminin tek bir oran yerine, alım miktarına bağlı olarak oluşturulmuş her bir dilim için ayrı ayrı oranlar şeklinde tespit edildiği vurgulanmış, artan oranlı hedef indiriminde alıcının, bir üst dilime tekabül eden miktarda alımda bulunursa daha fazla indirimden faydalandığı ifade edilmiştir. İlgili Kararda, Ülker’in pazar gücüne sahip olduğu ürün gruplarına ilişkin indirimlerde standart indirim hedeflerinin bulunduğu ve ayrıca yapılan görüşmelerde alıcıların daha fazla Ülker ürünü satmak yönünde bir baskı hissetmediklerini ifade ettikleri belirtilerek, bu uygulamanın kötüye kullanma olarak değerlendirilmeyeceği sonucuna ulaşılmıştır. Rekabet Kurulu’nun diğer bir kararı11 ise Amadeus Rezervasyon Dağıtım Sistemleri A.Ş.’nin acenteleri ile akdettiği “Acentelik Sözleşmesi”nin teşvik primleri hakkındaki maddesinin, 4045 sayılı Kanunun 6. maddesini ihlal ettiği iddiasına ilişkindir. İlgili Kararda, Rekabet Kurulu, Amadeus’un beş acentasına münhasırlık karşılığı verdiği indirim sisteminin uygulamanın pazarın küçük bir bölümünü kapsadığı, ayrıca acentelerin bu durumu kendi istekleriyle kabul ettikleri gerekçesiyle soruşturma açılmasına gerek görmeyerek, verilen teşviklerin 4054 sayılı Kanunun 6. maddesine aykırılık teşkil ettiği gerekçesiyle uygulamanın sonlandırılması yönünde ilgili teşebbüse bildirimde bulunulması yönünde karar vermiştir. Kararda, kötüye kullanmaya ilişkin değerlendirmede, rekabet hukuku uygulamalarında, hakim durumda bulunan teşebbüslerin müşterilerine uyguladıkları “sadakat indirimleri” ve “teşvik ödemeleri” hakim durumun kötüye kullanılması olarak değerlendirildiği belirtilmektedir. Bu bağlamda, şikâyet konusu olan ve Amadeus’un sınırlı sayıdaki acenteleri ile akdettiği acentelik sözleşmelerinde düzenlenen, teşvik ödemelerinin rakip sistem kullanmama şartına bağlandığı ilgili hükmün de “sadakat indirimi” should be ended and the relevant undertaking will be notified due the fact that given incentives constitute a breach of Article 6 of the Competition Law. Accordingly, it has been concluded that the said provision regulated under the agency agreements concluded between limited agencies of Amedeus and is a subject of complaint regarding the relevant clause where the non-usage of rival system for incentive payments has been stipulated constitutes an “incentive payment” system that can impact as a “loyalty rebate”. 5. CONCLUDING REMARKS The board members having opposing view have stated that; a dominating enterprise taking actions like smaller or middle scaled companies would, with purposes such as entering a market, increasing market share, securing its current position against competitors, adopting distribution, sales and promotion policies that may be called aggressive in a common and intensive manner is against the competition law. Generally in the decisions of the Competition Board, market shares carry an importance in evaluating dominant position due to its ability to reflect the market strength. For determining breaches of competition causing an abuse of dominant position, market structure, market shares and market strength bear importance. Considering the risks of agreement implementations that prevent entrance to the market and exclusion from the market with regards to the medium scaled competing enterprises by the enterprises that have the dominant position or concentrated on some product markets. Especially, the rebates falling within the scope of various rebate classifications are implemented by the enterprises may be interpreted as the abuse of dominant position and may prevent grant of exemptions to the agreements within the scope of Competition Law. DEĞERLENDİRME Rekabet Kurulu Kararlarına karşı karşıt görüş belirten kurul üyelerinin düşünceleri genel olarak, hakim durumda bulunan bir teşebbüsün, daha küçük ve orta ölçekli firmaların başvuracağı türden, pazara girmek, pazar payını artırmak, rakiplerine göre mevcut konumunu sağlamlaştırmak gibi amaçlarla birtakım aksiyonlar içerisine girmesi, yaygın ve yoğun şekilde, saldırgan denebilecek dağıtım, satış ve promosyon politikaları benimsemesi rekabet hukukuna aykırılık teşkil ettiği yönündedir. Genel olarak Rekabet Kurulu kararlarında, hâkim durum değerlendirmesinde pazar gücünü yansıtması açısından pazar payları büyük önem taşımaktadır. İndirim sistemlerinde hâkim durumun kötüye kullanılmasına yol açıcı rekabet ihlallerinin tespiti için de pazar yapısı, pazar payları ve pazar gücü önem arz etmektedir. Önemle belirtilmesi gereken husus, hâkim durumda olduğu veya kimi ürün pazarlarında yoğunlaştığı kabul edilen teşebbüslerin, özellikle küçük ve orta ölçekli rakip teşebbüsler bakımından bunların pazar dışına itilmesine veya pazara girmesine engel oluşturacak sözleşme uygulamalarının taşıdığı risklerin göz önünde bulundurulması gerektiğidir. Özellikle, hâkim durumdaki teşebbüslerin uyguladığı çeşitli indirim sınıflandırmaları içerisine giren indirimler hâkim durumun kötüye kullanılması olarak değerlendirilebilmekte ve yapılan anlaşmalara Rekabet Hukuku kapsamında muafiyet tanınmasına engel olabilmektedir.
