Our performance over the year was outstanding and resulted in our recording a net profit of EUR 24.6 million, up from EUR 12.1 million in 2003. Alongside an equity base, before profit appropriation, of EUR 206 million, the Bank’s balance sheet stood at EUR 2,261 million as at December 31, 2004. Over 2004, the Bank successfully realized further growth in structured trade finance and forfeiting volume, which reached EUR 3.3 billion. The year 2004 saw Finansbank (Holland) N.V. further diversify geographical distribution of its assets and enlarge its customer base and product portfolio. Also, infrastructural investments undertaken in the course of 2004 for the launch of new products were signals of continuous business development for the years ahead. We are pleased to present you with the report of the Managing Board and the financial statements, comprising the balance sheet and the profit and loss account. Supplemental to this are explanatory notes and further information including the report of our external auditors (Ernst & Young Accountants) for the period ending December 31, 2004. We propose that you accept these financial statements, thereby discharging the members of the Managing Board from their liability with respect to their management responsibilities and the members of the Supervisory Board with respect to their supervising responsibilities. Managing Board report to the Supervisory Board 2004 was marked by an increased global investment in the world’s emerging markets in the face of sluggish economies of the West. Although the US economy showed signs of revival towards the year-end with higher interest rates on the dollar, it was widely agreed that improvements on the fronts of growth and unemployment would be delayed for an indefinite period. The EU zone, on the other hand, remained in its dip at lowest interest rates seen in decades, which was not enough to propel its markets into optimism as unemployment rose even further. The eastward enlargement of ten countries that came in the first half of the year was deemed to have pushed the Union into a so-called ‘enlargement fatigue’ that added to the socioeconomic burden, hoped to be lifted in the next decade. Onur Umut, Member The long-standing slump was partly attributed to the currency markets, where the already weak US Dollar shed 20 percent of its value against the Euro despite three interest rate hikes by the Fed during the year, adding fuel to the smouldering chagrin of EU exporters. Commodity and commerce markets, where the Bank is active, remained buoyant with prices in energy, metals and soft commodities reaching historical heights. Other major commodities also displayed high and unyielding trends that withstood the inertia in the developed economies. This phenomenon of concurrently high commodity markets was largely attributed to the stubbornly high GDP growth of 6.5 percent in PR China that served as the dynamo of the world raw material markets. Coupled to commodity prices, the freight prices stayed persistently high as the world shipping capacity remained scant. At the 10th anniversary of its founding, Finansbank (Holland) N.V. demonstrated the point of its arrival by the financial results it displayed. In 2004, while effectively maintaining the quality of its assets and customer satisfaction, the Bank has increased both its volume of transactions and profitability to record levels. Net profit was recorded as EUR 24.6 million with an increase of 103 percent, and trade finance 4 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 and forfeiting volume reached EUR 3.3 billion with an increase of 32 percent in comparison to the previous year. As much as the consistent implementation of the business strategies throughout the year, the share of the steps taken in the right direction in earlier years is unquestionable. FBH, led by net interest earnings, registered significant increases in all its income entries in 2004 while achieving a reduction in noninterest expenses. As the net interest earnings were raised by 31 percent to EUR 37.1 million, commission income was incremented by 16 percent to EUR 13.3 million in line with the increasing trade finance volume. Similarly, increasing by 89 percent to EUR 17.9 million, the results on financial transactions have contributed to the bottom line. In the meantime, through meticulously observed cost control and productivity enhancement strategies, the Bank was able to reduce non-interest expenses by EUR 1.6 million. In 2004, the Bank has taken important steps to secure a permanent niche in local markets penetrated in earlier years. While increasing the number of customers and products in all local markets, a new subsidiary was established in the Romanian consumer finance sector. In the coming years, the newly established Finans Servicii Financiare S.A. will definitely contribute to our consumer finance and risk diversification strategies. During 2004, being aware of the importance of effective and efficient risk management, Finansbank (Holland) N.V. continued to strengthen the risk management discipline within the business lines. The Bank increased its investments in technical infrastructure as well as human resources to improve its risk monitoring and measurement functions. These efforts were also integral parts of the steps taken to implement Basel 2 capital accord. Understanding Basel 2 framework as a means of aligning economic and regulatory capital, the Bank considers implementation of new capital adequacy standards as ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 5 a valuable opportunity for an improved capital allocation process across the business lines based on their risk adjusted returns. To that end, the current risk management effort at the Bank is geared towards system development for Pillar 1 and Pillar 2 compliance as well as development of data collection and modelling methodologies for advanced approaches. The Bank is fully committed to reap the benefits that advanced approaches under Basel 2 provide for sound risk management. Corporate and Structured Commodity Finance True to the policy adopted since its establishment, structured commodity finance remained the core business activity of Finansbank (Holland) N.V. Over the course of 2004, the Bank maintained its focus on customer satisfaction with fast and reliable services and tailor-made solutions. Transaction Collateral Management and Corporate Trade Services Departments were established under the Corporate Banking Division to achieve better customer ownership, thus higher customer satisfaction. Likewise, a new Quality Assurance Function was embedded in our back-office processes for the maintenance of the level of service quality. As result of above strategies, the trade finance volume generated by Corporate Banking Department increased by 127 percent to EUR 2.7 billion. Furthermore, the end of 2004 saw our cash and noncash loans reaching EUR 796 million at an increase of 65 percent over the 2003 figures. In 2004, while deepening our penetration in several commodities and sectors, we concentrated particularly on fertilizers, metals and oil. As of the end of 2004, we are proud to have a major share in financing transactions of these commodities, especially in the Black Sea coast and CIS regions. Despite a considerable increase in its trade finance activities, FBH has maintained a prudent approach in risk management. This is evidenced by our continuous efforts to assess even more thoroughly our exposure in terms of commodities, countries and counterparties. Commodity prices and the standing of various industries were pursued closely with increased 6 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 frequency in the industry, commodity and sector reports. Major developments in the international arena were also carefully monitored to mitigate the risks assumed by the Bank during various stages of trade finance transactions. As we extended the geographical diversification of our customer portfolio, financial and political vicissitudes in parts of the world that were found to be critical were carefully monitored. Each of our departments intensified their presence at numerous commodity trade fairs, conventions and seminars. Furthermore, sight visits remained to be an essential tool in trade finance transactions to better assess the needs of our clients and minimize the counter-party exposure of the Bank. The last months of 2004 witnessed our decision to formally establish a marine finance department. The marine and shipping sector has been most familiar to the Bank as a natural extension of trade finance. FBH decided to service the marine customers within a separate organization, under Corporate Banking. The Bank aims at creating yet another niche business line, which in essence works parallel to our key business lines. The results of this undertaking will bear fruit in 2005 and beyond. Throughout the next year, the Bank’s top priority will continue to be adopting an increasingly more flexible approach in meeting the needs of our demanding corporate clientele while maintaining our conservative approach towards risk management. Financial Institutions Our strategy of geographical diversification and specialization in trade finance products was continued throughout 2004. It was particularly Eastern Europe, the CIS countries, the Middle East & North Africa, Central & South Asia where the Bank focused its attention during this period. More than 120 credit relationships with banks and financial institutions were conducted in these emerging markets. In the course of 2004, we set up ‘Global Trade Services’ Department to further improve the quality of service offered to our correspondents. The main task of this department is to handle transactions originated from our correspondents in the most timely and efficient manner. Likewise, we offered new rebate programs, Managing Board from left to right: Turhan Cemal Beriker (Chief Executive Officer), Gert B. Muller (Deputy Chief Executive Officer) & E. Murat Başbay (Director) seminars as well as internal and external traineeships to strengthen our ties with our expanding international network of correspondents. As a consequence of these efforts, the trade finance volume generated by Financial Institutions Department reached EUR 0.6 billion. Furthermore, the Bank became a major participant in the syndicated loan, refinancing and pre-financing markets in the above mentioned regions. Similarly, in 2004, our Forfeiting Department succeeded to realize a transaction volume of EUR 619 million and increase its trading gain by 44 percent to EUR 1 million. With regards to the risk management function in Financial Institutions Department, the most important development during 2004 was the successful implementation of our new internal rating system. The new system, which is used to assess both financial institution and sovereign risks, will definitely reinforce the risk management function of Financial Institutions Credit Analysis Department. ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 7 Dutch translations Consumer Banking Over the course of 2004, the Bank expanded and upgraded its consumer banking activities in various fronts. Penetration in Romanian consumer finance market and the launch of new products in the markets of existence were major developments on the commercial side. As an outcome of these moves, at the end of 2004 our consumer finance portfolio exceeded EUR 50 million. On the fronts of operational efficiency, the Bank succeeded to further automate its back-office processes and reduce its costs as result of various projects initiated in earlier years. Consistent with this move, an adaptable human resource pool, which can be deployed across a variety of critical areas in the organization, was created. In the consumer deposits markets, the Bank continued to offer interesting products to its large customer base, while ensuring customer satisfaction at all levels. Maintaining a customer-oriented backoffice centre and creation of self-service platforms were results of this approach. For 2005 and beyond, rational distribution of our products will remain to be the key issue. Accordingly, in 2005 we plan to establish a new Sales Group, which will be particularly responsible for acquisition of new business partners. Organizational Developments We established in 2004 the Business Development and Strategy (BDS) Department –granted a wider range of responsibility- to supersede the Project Management and Coordination (PMUC) Department. In addition to the traditional project coordination and portfolio management tasks, BDS focuses primarily on the managed evolution of our organizational structure, streamlining and automating business processes and further enhancing our overall business performance. In 2005, BDS will continue to play a key role in our strategic planning process. 2005 and beyond will entail further development of our human resources management. Enterprise-level standardization, management trainee programs and methods of further developing a participatory culture amongst our employees will be the key components of this perspective. On IT side, our strategy for 2005-2007 will focus on maintaining a secure and reliable IT infrastructure, and providing competitive leverage to business lines through the expedited delivery of software capabilities. To achieve these objectives, the IT Infrastructure and Support Department will continue to reinforce our IT Governance in compliance with the COBIT methodology. Moreover, a recently established Software Engineering Department will adopt and implement state-of-theart agile software development methods. In 2005, we intend to seek an even more maintainable and flexible software architecture. It is our consideration that business-rule based systems and service-oriented architectures will prove to be promising technological enabler for meeting the challenges of the near future. With a strong 2004 left behind, Finansbank (Holland) NV looks at 2005 and beyond with deserved confidence. The Bank has demonstrated considerable triumph in its financial performance in its eleven years of operations. There is every reason to be optimistic for the coming years, where the Bank will maintain its key strategy of a niche player, deploying its resources towards creativity and flexibility in both structured trade and commodities and consumer finance. Onur Umut, lid Verslag van de Directie aan de Raad van Commissarissen De wereldeconomie in 2004 stond in het teken van toenemende investeringen in de ontwikkelingslanden, terwijl in het Westen de economieën stagneerden. De economie van de VS vertoonde tegen het eind van het jaar wel tekenen van herstel, getuige de hogere rentevoeten op de dollar, maar de algemene verwachting was dat een verbetering op het vlak van groei en werkloosheid nog lang op zich zou laten wachten. Daartegenover bleef de gemeenschappelijke markt van de Europese Unie in mineur bij de laagste rentevoeten van de afgelopen decennia, die overigens niet laag genoeg bleken om haar economieën optimistischer te stemmen aangezien de werkloosheid zelfs nog verder toenam. De uitbreiding met tien landen naar het oosten die in de eerste helft van het jaar tot stand kwam, zou de EU in een staat van een soort ‘uitbreidingsvermoeidheid’ hebben gebracht, die boven op de sociaal-economische lasten van de eenwording kwam waarvan werd gehoopt dat zij in het volgende decennium zouden worden verlicht. De langdurige economische stagnatie werd deels toegeschreven aan de valutamarkten, waarop de toch al zwakke Amerikaanse dollar 20 procent van zijn waarde ten opzichte van de euro moest prijsgeven ondanks drie discontoverhogingen die door de Amerikaanse Centrale Bank in de loop van het jaar werden afgekondigd, die op hun beurt de ergernis van Europese exporteurs hebben aangewakkerd. ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 9 Op de markten voor goederen en diensten waarop de Bank actief is, bleven de prijzen stijgen, waarbij de prijzen voor energie, metalen en delfstoffen historische hoogten bereikten. Ook op andere belangrijke goederenmarkten bleef de prijsontwikkeling onverminderd hoog, ondanks de stagnatie in de ontwikkelde economieën. Dit verschijnsel van goederenmarkten die op hetzelfde moment tekenen van overspanning vertonen, werd grotendeels toegeschreven aan de hardnekkig hoge BNP-groei van 6,5 procent in China, die werkte als een dynamo op de grondstoffenmarkten in de hele wereld. Evenals de grondstoffenprijzen, waaraan zij zijn gekoppeld, bleven de vrachttarieven steeds hoog, aangezien de vervoerscapaciteit wereldwijd beperkt bleef. Op haar tiende verjaardag laten de resultaten van Finansbank (Holland) N.V. duidelijk zien dat zij ver is gekomen. In 2004 heeft de Bank nieuwe records bereikt in zowel transactievolume als winstgevendheid, in feite zonder in te boeten op de kwaliteit van haar activa en het niveau van klanttevredenheid. Er werd een nettowinst van EUR 24,6 miljoen behaald, een toename van 103 procent, en het totaal aan handelsfinancieringen en forfaitingsdiensten liep op tot EUR 3,3 miljard, een toename van 32 procent vergeleken met vorig jaar. Ongetwijfeld heeft de consequente uitvoering van de ondernemingsstrategie gedurende het gehele jaar hieraan bijgedragen, evenzeer als de stappen in de goede richting die in voorgaande jaren zijn gezet. In 2004 boekte FBH een belangrijke toename in al haar inkomstenposten, waaronder de nettorentebaten op de eerste plaats, en was zij bovendien in staat haar niet-rente-uitgaven terug te brengen. De nettorentebaten werden met 31 procent verhoogd tot EUR 37,1 miljoen; de inkomsten uit commissies werden tegen de achtergrond van de toegenomen handelsfinancieringen met 16 procent opgevoerd tot EUR 13,3 miljoen. Evenzo hebben de verdiensten op financiële transacties, die met 89 procent toenamen tot EUR 17,9 miljoen, bijgedragen aan het resultaat. Intussen slaagde de Bank erin haar niet-renteuitgaven met EUR 1,6 miljoen te verlagen, door haar beleid van kostenbeheersing en productiviteitsverhoging nauwgezet te volgen. 10 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 In 2004 heeft de Bank belangrijke stappen gezet om zich te verzekeren van een duurzame niche in lokale markten die in voorgaande jaren zijn betreden. Het aantal klanten en producten in alle lokale markten werd uitgebreid en tegelijkertijd werd een nieuwe dochtermaatschappij opgericht in Roemenië om de consumentenfinancieringsmarkt te bedienen. In de komende jaren zal de onlangs opgerichte Finans Servicii Financiare S.A. zeker een bijdrage leveren aan onze strategie met betrekking tot consumentenfinanciering en risicodiversificatie. Finansbank (Holland) N.V. is zich bewust van het belang van een effectief en efficiënt risicobeheer en heeft dan ook de discipline met betrekking tot risicobeheer in haar verschillende lijnactiviteiten verder versterkt. Om de risico’s beter te kunnen monitoren en inschatten, heeft de Bank haar investeringen in technische infrastructuur en human resources verder opgevoerd. Deze inspanningen maakten ook integraal deel uit van de maatregelen die werden genomen om het Bazel II-kapitaalakkoord uit te voeren. De Bank ziet Bazel II als een middel om het bedrijfseconomische kapitaal in overeenstemming te brengen met het wettelijk vereiste kapitaal en beschouwt de toepassing van de nieuwe minimum kapitaalvereisten als een nuttige gelegenheid om de toewijzing van kapitaal aan de verschillende lijnactiviteiten beter af te stemmen op het voor risico gecorrigeerde rendement. De huidige inspanningen van de Bank op het vlak van risicobeheer zijn daarom niet alleen gericht op de ontwikkeling van systemen om aan pijler 1 en 2 te voldoen, maar ook op de ontwikkeling van methodes voor het vergaren en rangschikken van gegevens die nodig zijn voor geavanceerde benaderingswijzen. De Bank is vast van plan om de vruchten te plukken die geavanceerde benaderingswijzen onder Bazel II beloven voor een gezond risicobeheer. Ondernemingsfinanciering en gestructureerde goederenfinanciering Conform het beleid dat sinds haar oprichting wordt gevoerd, bleef gestructureerde goederenfinanciering de hoofdactiviteit van Finansbank (Holland) N.V. Gedurende heel 2004 bleef de Bank zich concentreren op het tevreden stellen van haar cliënten, door het leveren van snelle en betrouwbare diensten en pasklare oplossingen. Binnen de divisie Corporate Banking werden de afdelingen Transaction Collateral Management en Corporate Trade Services opgericht om de cliënten nog beter van dienst te kunnen zijn, en dus nog meer tevreden te kunnen stellen. Eveneens werd een nieuwe Quality Assurance/functie opgenomen in de werkprocessen van ons back-office om het kwaliteitsniveau van onze dienstverlening te handhaven. Als gevolg van de bovengenoemde strategieën nam het door de afdeling Corporate Banking gegenereerde volume aan handelsfinancieringen met 127 procent toe tot EUR 2,7 miljard. Verder liep het totaal van onze cash en non-cash leningen eind 2004 op tot EUR 796 miljoen, wat een stijging van 65 procent inhoudt ten opzichte van de bedragen in 2003. In 2004 breidden wij onze betrokkenheid bij verscheidene goederen en sectoren verder uit, waarbij wij ons vooral concentreerden op meststoffen, metaal en olie. Wij zijn er trots op dat wij sinds eind 2004 een belangrijk aandeel hebben in de financieringstransacties voor deze goederen, vooral in de gebieden rond de Zwarte Zee en in de GOS-landen. handelstransacties werkbezoeken van essentieel belang om beter zicht te krijgen op de behoeften van onze cliënten en onze blootstelling aan tegenpartijen te minimaliseren. In de laatste maanden van 2004 besloten wij officieel tot de oprichting van een marine finance-afdeling. De Bank is altijd al zeer vertrouwd geweest met de scheepvaartsector, die naar haar aard in het verlengde van handelsfinanciering ligt. FBH besloot haar scheepvaart cliënten te bedienen vanuit een aparte organisatie, die ressorteert onder Corporate Banking. De Bank wil nog een andere nicheactiviteit ontwikkelen, die in wezen parallel aan onze hoofdactiviteiten wordt uitgevoerd. Deze activiteit zal in 2005 en de jaren daarna haar vruchten gaan afwerpen. Ook heel volgend jaar zal de Bank absolute voorrang blijven geven aan het aannemen van een steeds flexibelere houding waar het gaat om de voorziening in de behoeften van onze veeleisende zakelijke cliënten, onder behoud van onze conservatieve opstelling ten aanzien van risicobeheer. Financiële instellingen Ondanks een aanzienlijke toename van haar activiteiten op het gebied van handelsfinanciering, bleef FBH vasthouden aan een voorzichtig beleid ten aanzien van risicobeheer. Een bewijs daarvan vormen onze voortdurende inspanningen om de mate waarin wij blootstaan aan risico’s op het vlak van goederen, landen en tegenpartijen, zo mogelijk nog nauwkeuriger in kaart te brengen. Onze strategie van geografische diversificatie en specialisatie op handelsfinancieringproducten werd in 2004 voortgezet. In deze periode richtte de Bank haar aandacht vooral op Oost-Europa, de GOS-landen, het Midden-Oosten en Noord-Afrika, en Centraal- en Zuid-Azië. In deze opkomende markten werden meer dan 120 kredietovereenkomsten afgesloten met banken en financiële instellingen. De ontwikkeling van goederenprijzen en de stand van zaken in verscheidene bedrijfstakken werden nauwkeurig geanalyseerd in bedrijfstak-, goederenen sectorrapporten, die steeds frequenter werden gepubliceerd. Belangrijke internationale ontwikkelingen werden ook zorgvuldig gevolgd om de risico’s te beperken die de Bank loopt in de verschillende stadia van de financiering van handelstransacties. In de loop van 2004 hebben wij de afdeling Global Trade Services opgericht om de kwaliteit van de dienstverlening aan onze correspondenten verder te verbeteren. De hoofdtaak van deze afdeling bestaat uit het zo snel en efficiënt mogelijk afhandelen van transacties die door onze correspondenten worden aangebracht. Daarnaast hebben wij nieuwe kortingprogramma’s, seminars alsook interne en externe stages aangeboden om onze banden met ons uitgebreide internationale netwerk van correspondenten te versterken. Aangezien ons cliëntenbestand steeds internationaler werd, werden wisselvalligheden in het financiële en politieke klimaat in kritiek geachte delen van de wereld nauwgezet gevolgd. Al onze afdelingen namen steeds vaker deel aan talloze jaarbeurzen, conferenties en seminars. Verder bleven bij de financiering van Als resultaat van deze inspanningen kwam het totaal aan handelsfinancieringen van de divisie Financiële Instellingen uit op EUR 0,6 miljard. Verder werd de ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 11 Bank een belangrijke speler in de markten voor syndicated loans, herfinanciering en voorfinanciering in de bovengenoemde gebieden. Evenzo slaagde onze afdeling Forfaiting er in 2004 in een transactievolume te realiseren van EUR 619 miljoen en haar handelswinst met 44 procent te verhogen tot EUR 1 miljoen. Met betrekking tot de risicobeheerfunctie binnen de divisie Financiële Instellingen was de succesvolle invoering van ons nieuwe interne risicoanalysesysteem de belangrijkste ontwikkeling in 2004. Het nieuwe systeem, dat wordt gebruikt om zowel financiële instellingen als landenkredieten te beoordelen, zal de risicobeheerfunctie binnen de divisie Kredietrisico Financiële Instellingen zeker versterken. Consumer banking In de loop van 2004 heeft de Bank haar consumer banking-activiteiten op verschillende gebieden opgevoerd en uitgebreid. De penetratie van de Roemeense consumentenfinancieringsmarkt en het uitbrengen van nieuwe producten op bestaande markten, waren commercieel gezien belangrijke ontwikkelingen. Als gevolg van deze stappen hadden wij aan het eind van 2004 meer dan EUR 50 miljoen uitstaan aan consumentenfinancieringen. Op het vlak van operationele efficiency slaagde de Bank er in haar back-officeprocessen verder te automatiseren en haar kosten te verlagen dankzij verscheidene projecten die in eerdere jaren waren opgestart. Hierin past het in grootte variabele personeelsbestand, dat werd gevormd om bezettingsproblemen op verschillende kritieke afdelingen van de organisatie op te kunnen vangen. Op de consumentendepositomarkt bleef de Bank haar vele cliënten interessante producten aanbieden, waarbij klanttevredenheid op alle niveaus werd gewaarborgd. Deze benaderingswijze resulteerde in het beschikbaar houden van een centrale klantgerichte ondersteunende dienst en de instelling van self-serviceplatforms. Voor 2005 en daarna zal een weldoordachte distributie van onze producten het belangrijkste punt van aandacht blijven. Daarom zijn wij van plan in 2005 de 12 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 afdeling Verkoop te vernieuwen, die in het bijzonder verantwoordelijk zal zijn voor het aangaan van nieuwe zakelijke relaties. Organisatorische ontwikkelingen In 2004 hebben wij de afdeling Business Development and Strategy (BDS) opgericht – met meer verantwoordelijkheden – ter vervanging van de afdeling Project Management and Coordination (PMUC). Naast de traditionele taken met betrekking tot projectcoördinatie en portefeuillebeheer, richt BDS zich vooral op de beheerste ontwikkeling van onze organisatiestructuur, het stroomlijnen en automatiseren van bedrijfsprocessen en verdere verbetering van onze bedrijfsvoering in het algemeen. In 2005 zal BDS een sleutelrol blijven vervullen in ons strategische planningsproces. Omdat zij zich realiseert dat onze human resources een belangrijke rol spelen in het succes van de Bank, bleef onze directie investeren in haar medewerkers. Deze opstelling kwam duidelijk tot uiting in het aanbieden van opleidingsfaciliteiten aan medewerkers en het in gang zetten van een beleid waarbij prestaties worden aangestuurd op basis van vooraf geformuleerde doelstellingen. Onze zakelijke aspiraties voor 2005 en daarna zullen een verdere ontwikkeling van het beheer van onze human resources vergen. Standaardisering op het niveau van de onderneming, management trainee-programma’s en methoden om de betrokkenheid van onze medewerkers bij het bedrijf verder te ontwikkelen, zijn tegen deze achtergrond de belangrijkste componenten. flexibeler is. Wij zijn van mening dat op bedrijfsregels gebaseerde systemen en op dienstverlening gerichte ontwerpen veelbelovende technologische hulpmiddelen zullen blijken te zijn, die het mogelijk maken de uitdagingen van de nabije toekomst aan te kunnen. Das Betriebsergebnis war hervorragend, es konnte von EUR 12,1 Millionen im Vorjahr auf EUR 24,6 Millionen im Jahre 2004 gesteigert werden. Bei einer Eigenkapitalbasis vor Gewinnverwendung in Höhe von EUR 206 Millionen betrug die Bilanzsumme der Bank am 31. Dezember 2004 EUR 2,261 Milliarden. Dezember 2004 endende Periode vorlegen zu können. 14 Bericht des Vorstands an den Aufsichtsrat Das Jahr 2004 war gekennzeichnet durch eine schwach Konjunktur in den westlichen Ländern bei weltweit zunehmenden Investitionen in die Schwellenmärkte. Obwohl die US-Wirtschaft gegen Jahresende Anzeichen einer Belebung mit höheren Dollarzinsen zeigte, herrschte weithin die Überzeugung, dass Verbesserungen in Bezug auf das Wachstum und die Beschäftigungslage vorerst noch nicht abzusehen wären. Der EU-Wirtschaftsraum seinerseits verharrte in seinem Konjunkturtal mit den niedrigsten Zinsen seit Jahrzehnten, die dennoch keinen Stimmungsumschwung herbeizuführen vermochten, da die Arbeitslosigkeit noch weiter zunahm. Die Erweiterung der EU um zehn osteuropäische Länder im ersten Halbjahr löste zusätzlich zu den sozio-ökonomischen Lasten, deren Erleichterung im kommenden Jahrzehnt erhofft worden war, eine Art von Expansionsmüdigkeit aus. Wir schlagen Ihnen vor, diesen Jahresabschluss festzustellen und dadurch den Mitgliedern des Vorstands für ihre Geschäftsführungsaufgaben und den Mitgliedern des Aufsichtsrats für ihre Beaufsichtigungsaufgaben Entlastung zu erteilen. Die anhaltende Konjunkturschwäche wurde zum Teil den Devisenmärkten zugeschrieben, auf denen der ohnehin schwache US-Dollar trotz drei Zinsanhebungen durch die US-Notenbank im Laufe des Jahres 20 Prozent gegenüber dem Euro einbüßte und damit dem schwelenden Unmut der EU-Exporteure neue Nahrung gab. Schließlich und vor allem möchten wir all unseren Kunden und Korrespondenzbanken unsere aufrichtige Dankbarkeit und Anerkennung für ihre fortgesetzte Unterstützung und das in unser Institut gesetzte Vertrauen zum Ausdruck bringen. Auf den Rohstoff- und Handelsmärkten, in denen die Bank operiert, hielt der Auftrieb an, und die Preise von Energie, Metallen und Weichwaren kletterten auf Rekordhöhen. Auch andere wichtige Rohstoffe zeigten einen unaufhaltsam steigenden Trend, dem die ansonsten schlaffe Konjunkturlage nichts anzuhaben vermochte. Diese Erscheinung gleichzeitig boomender Rohstoffmärkte war weitgehend dem unvermindert FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 hohen Wachstum des Bruttoinlandsprodukts der Volksrepublik China von 6,5 Prozent zuzuschreiben, das als Motor der Weltrohstoffmärkte fungierte. Zusammen mit den Rohstoffpreisen blieben die Frachtraten nach wie vor hoch, da die weltweite Knappheit von Schiffsraum anhielt. Am zehnten Jahrestag ihrer Gründung präsentierte die Finansbank (Holland) N.V. anhand ihrer Finanzergebnisse, was bisher erreicht worden ist. Im Jahre 2004 konnte die Bank bei gleichzeitiger Erhaltung der Qualität ihrer Vermögenswerte und der Kundenzufriedenheit sowohl das Geschäftsvolumen als auch die Erträge auf ein Rekordniveau steigern. Der Nettogewinn nahm mit EUR 24,6 Millionen um 103 Prozent zu, und das Handelsfinanzierungs- und Forfaitierungsgeschäft wurde gegenüber dem Vorjahr um 32 Prozent auf EUR 3,3 Milliarden ausgedehnt. So wichtig die konsequente Umsetzung der Unternehmensstrategie im Laufe des Berichtsjahrs auch war, haben zweifellos auch die in der Vergangenheit gemachten Schritte in die richtige Richtung zu diesem Erfolg beigetragen. Mit den Nettozinseinnahmen an erster Stelle verzeichnete die FBH im Jahre 2004 in all ihren Geschäftsbereichen signifikant höhere Erträge bei gleichzeitiger Verringerung der Nichtzinskosten. Da die Nettozinseinnahmen um 31 Prozent auf EUR 37,1 Millionen stiegen, erhöhten sich auch die Provisionseinnahmen dem größeren Handelsfinanzierungsvolumen entsprechend um 16 Prozent auf EUR 13,3 Millionen. Einen weiteren Beitrag zum Ergebnis leistete das Finanzgeschäft mit einem Zuwachs um 89 Prozent auf EUR 17,9 Millionen. Gleichzeitig konnte die Bank durch sorgfältige Kostenkontrolle und Maßnahmen zur Produktivitätssteigerung die Nichtzinskosten um EUR 1,6 Millionen reduzieren. Im Jahre 2004 hat die Bank wichtige Schritte zur Sicherung eines festen Platzes auf in früheren Jahren erschlossenen lokalen Märkten ergriffen. Während die Zahl der Kunden und der Produkte in allen lokalen Märkten ausgedehnt wurde, wurde auf dem rumänischen Konsumentenkreditsektor eine neue Zweigstelle eröffnet. In den kommenden Jahren wird die neu gegründete Finans Servicii Financiare S.A. einen eigenen Beitrag zur Umsetzung unserer Strategie in Bezug auf Konsumentendarlehen und Risikostreuung leisten. Im Laufe des Berichtsjahrs hat die Finansbank (Holland) N.V. im Bewusstsein der Bedeutung eines effektiven und effizienten Risikomanagements weiterhin an der Verstärkung der RisikomanagementFunktion in den verschiedenen Geschäftsbereichen gearbeitet. Die Bank hat ihre Investitionen in Technologie-Infrastruktur und in die Fortbildung von Mitarbeitern erhöht, um die Überwachung und Beurteilung von Risiken zu verbessern. Diese Maßnahmen erfolgten auch im Zuge der Implementierung der Baseler Eigenkapitalvereinbarung. Die Bank erblickt in dem Rahmenwerk von Basel II ein Mittel zur Abstimmung der notwendigen Kapitalausstattung und des aufsichtsrechtlichen Eigenkapitals und betrachtet die Einführung neuer Standards als eine willkommene Möglichkeit zu einer verbesserten Kapitalverteilung auf die Geschäftsbereiche auf der Basis ihrer risikoberichtigten Erträge. Zu diesem Zweck sind die gegenwärtigen Bemühungen der Bank im Bereich des Risikomanagements auf die Systementwicklung für die Erfüllung von Säule 1 und Säule 2 sowie auf die Entwicklung von Methoden für die Datenerfassung und -aufbereitung für fortgeschrittene Ansätze ausgerichtet. Die Bank ist entschlossen, die Vorteile der fortgeschrittenen Ansätze gemäß Basel II für ein gutes Risikomanagement voll zu nutzen. Firmen- und strukturierte Warenfinanzierung Gemäß der seit der Gründung verfolgten Politik ist die strukturierte Warenfinanzierung das Kernstück der Geschäftstätigkeit der Finansbank (Holland) N.V. geblieben. Auch im Jahre 2004 legte die Bank weiterhin größtes Gewicht auf Kundenzufriedenheit durch schnelle, zuverlässige Dienstleistungen und maßgeschneiderte Lösungen. Im Geschäftsbereich Firmenkunden wurden Abteilungen für Transaction Collateral Management und Corporate Trade Services eingerichtet, um eine stärkere Kundenbindung und dadurch eine höhere Kundenzufriedenheit zu erreichen. Desgleichen wurde in unsere Back-Office-Prozesse eine neue Qualitätssicherungsfunktion aufgenommen, um das Niveau der Dienstleistungsqualität beizubehalten. ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 15 Infolge der oben dargelegten Strategien konnte das Volumen der Handelsfinanzierungen der Abteilung Corporate Banking um 127 Prozent auf EUR 2,7 Milliarden gesteigert werden. Neben dem Ausbau unserer Position in verschiedenen Warenmärkten und Sektoren haben wir uns im Jahre 2004 insbesondere auf Kunstdünger, Metalle und Mineralöl konzentriert. Am Ende des Berichtsjahrs können wir mit Stolz einen bedeutenden Anteil am Finanzierungsgeschäft für diese Bereiche aufweisen, insbesondere in dem Gebiet am Schwarzen Meer und in der GUS-Region. Trotz der beträchtlichen Zunahme ihrer Handelsfinanzierungstätigkeit verfährt die FBH bei ihrem Risikomanagement weiterhin mit der gebotenen Vorsicht. Das tritt in unserer ständigen Bemühung um eine noch gründlichere Beurteilung unserer Risiken in Bezug auf Waren, Länder und Kontrahenten zutage. Die Warenpreise und die Entwicklungen in verschiedenen Wirtschaftszweigen wurden anhand von Berichten mit erhöhter Frequenz über Wirtschaftszweige, Waren und Sektoren genau verfolgt. Desgleichen wurden die wichtigsten internationalen Entwicklungen sorgfältig beobachtet, um die Risiken der Bank in den einzelnen Stadien der Handelsfinanzierungsgeschäfte zu minimieren. Bei der Erhöhung der geographischen Streuung unserer Kundenbasis wurden die wesentlichen finanziellen und politischen Veränderungen in den verschiedenen Teilen der Welt genau verfolgt. All unsere Abteilungen verstärkten ihre Präsenz bei zahlreichen Fachmessen des Warenhandels, Konferenzen und Seminaren. Darüber hinaus waren Betriebsbesichtigungen bei Kontrahenten erneut ein wesentliches Hilfsmittel bei den Handelsfinanzierungstransaktionen, da sie es ermöglichen, die Bedürfnisse unserer Kunden besser einzuschätzen und das von der Bank eingegangene Kundenrisiko nach Möglichkeit zu verringern. In den letzten Monaten des Berichtsjahrs haben wir die formelle Gründung einer Schifffahrtsfinanzierungsabteilung beschlossen. Die Bank war 16 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 über ihre Handelsfinanzierungen bereits bestens mit dem Schifffahrts- und Frachtmarkt vertraut. Sie beschloss daher, für die Bedienung der Schifffahrtskunden eine gesonderte Organisation im Geschäftsbereich Handelskunden ins Leben zu rufen. Auf diese Weise soll ein weiteres Tätigkeitsfeld erschlossen werden, in dem wir im Wesentlichen parallel zu unseren Hauptgeschäftsbereichen operieren werden. Diese Maßnahme dürfte ab 2005 Früchte tragen. Was die Funktion des Risikomanagements in der Abteilung Finanzinstitute anbetrifft, so war die wichtigste Entwicklung im Jahre 2004 die erfolgreiche Implementierung unseres neuen internen RatingSystems. Das neue Bewertungssystem, das sowohl für Finanzinstitute als auch für Sovereign Risks verwendet wird, wird das Risikomanagement der Abteilung Financial Institutes Credit Analysis spürbar verstärken. Privatkundengeschäft Im kommenden Jahr ist die höchste Priorität der Bank weiterhin die Bereitstellung flexiblerer Lösungen für die Bedürfnisse unserer anspruchsvollen Firmenkunden bei gleichzeitiger Beibehaltung unseres konservativen Ansatzes bezüglich des Risikomanagements. Finanzinstitute Unsere Strategie der geographischen Streuung und der Spezialisierung auf Handelsfinanzierungsprodukte wurde im Berichtsjahr fortgesetzt. Schwerpunktgebiete waren insbesondere Osteuropa, die GUSStaaten, Mittelost und Nordafrika sowie Zentral- und Südasien. In diesen aufstrebenden Märkten wurden über 120 Kreditverträge mit Banken und Finanzinstituten geschlossen. Im Laufe von 2004 haben wir die Abteilung Global Trade Services gegründet, um die Qualität der Dienstleistungen für unsere Korrespondenten weiter zu verbessern. Die Hauptaufgabe dieser Abteilung besteht darin, die von unseren Korrespondenten angebahnten Transaktionen möglichst rasch und effizient abzuwickeln. Desgleichen haben wir neue Rabattsysteme, Seminare sowie interne und externe Praktika angeboten, um die Beziehungen zu unserem wachsenden internationalen Korrespondentennetz zu festigen. Infolge dieser Anstrengungen erreichte das von der Abteilung Finanzinstitute generierte Handelsfinanzierungsvolumen EUR 0,6 Milliarden. Darüber hinaus hat die Bank sich einen wichtigen Platz auf den Märkten für Konsortialkredite, Refinanzierungen und Vorfinanzierungen in den oben genannten Gebieten erworben. Unsere Forfaitierungsabteilung realisierte im Jahre 2004 ein Transaktionsvolumen in Höhe von EUR 619 Millionen und eine Steigerung ihres Betriebsergebnisses um 44 Prozent auf EUR 1 Million. Im Laufe des Berichtsjahrs hat die Bank ihre Tätigkeiten im Privatkundenbereich in verschiedener Hinsicht ausgedehnt und verbessert. Der Vorstoß in den rumänischen Markt für Konsumentenkredite und die Einführung neuer Produkte auf den bereits bestehenden Märkten waren wichtige Meilensteine. Dank dieser Maßnahmen betrug das Volumen unserer Konsumentenkredite Ende 2004 mehr als EUR 50 Millionen. Bezüglich der operationellen Effizienz hat die Bank ihre Back-Office-Prozesse weiter automatisiert und ihre Kosten infolge verschiedener in früheren Jahren eingeführter Projekte reduziert. Gleichzeitig wurde ein vielseitiger Mitarbeiterstab herangebildet, der in unterschiedlichen kritischen Bereichen der Organisation eingesetzt werden kann. Im Bereich Privatkundeneinlagen hat die Bank ihrem großen Kundenbestand weiterhin interessante Produkte angeboten und gleichzeitig für Kundenzufriedenheit auf allen Ebenen gesorgt. Im Rahmen dieser Bemühungen wurden neben der Unterhaltung eines kundenorientierten Back-OfficeZentrums auch Self-Service-Plattformen eingerichtet. Für 2005 und die folgenden Jahre wird die Hauptaufgabe weiterhin in dem rationellen Vertrieb unserer Produkte bestehen. Für 2005 ist deswegen die Gründung einer neuen Abteilung Vertrieb geplant, die insbesondere mit der Akquisition neuer Geschäftspartner betraut werden wird. sich die BDS-Abteilung hauptsächlich mit der weiteren Entwicklung unserer Organisationsstruktur, der Rationalisierung und Automatisierung der Arbeitsabläufe und der weiteren allgemeinen Performance-Verbesserung. Im Jahre 2005 wird die BDS-Abteilung weiterhin eine Schlüsselrolle in unserer Leitstrategie spielen. In dem Bewusstsein der wichtigen Rolle, die unsere Mitarbeiter für den Erfolg der Bank spielen, hat die Unternehmensleitung weiterhin in ihren Mitarbeiterstamm investiert. Diese Bemühungen kamen deutlich zum Ausdruck in dem Angebot von Trainingsprogrammen und in der Einführung eines zielorientierten Performance-Managements. Die weitere Entwicklung unseres Personal Managements ist Bestandteil unserer Unternehmenszielsetzung für 2005 und die späteren Jahre. Unternehmensweite Standardisierung, Management-Trainee-Programme und Methoden zur Verstärkung der Partizipationskultur bei unseren Mitarbeitern werden dabei eine Hauptrolle spielen. Im IT-Bereich ist unsere Strategie für die Jahre 2005 bis 2007 auf die Beibehaltung einer sicheren und zuverlässigen IT-Infrastruktur und die Erreichung von Wettbewerbsvorteilen für unsere Geschäftsbereiche durch die beschleunigte Nutzung von Softwaremöglichkeiten konzentriert. Um dies zu erreichen, wird die Abteilung IT Infrastructure and Support weiterhin am Ausbau der IT Governance mit COBIT arbeiten. Organisatorische Entwicklungen Darüber hinaus wurde vor kurzem die Abteilung Software Engineering Department gegründet, die mit modernsten, schnellen Software-Entwicklungsmethoden arbeiten wird. Im Jahre 2005 soll nach einer noch wartungsfreundlicheren und flexibleren Software-Architektur gesucht werden. Nach unserer Überzeugung schaffen business-rule-basierte Systeme und serviceorientierte Architekturen die besten technologischen Voraussetzungen, mit denen wir den Herausforderungen der nächsten Zukunft gewachsen sein werden. Im Jahre 2004 haben wir die Abteilung Business Development and Strategy (BDS) – mit größerem Zuständigkeitsbereich - anstelle der Abteilung Project Management and User Coordination (PMUC) eingerichtet. Zusätzlich zu der herkömmlichen Projektkoordination und dem Portfolio-Management befasst Nach dem starken Jahr 2004 sieht die Finansbank (Holland) N.V. 2005 und den späteren Jahren voller Zuversicht entgegen. Nos performances en cours d’exercice ont été exceptionnelles et se sont traduites par la réalisation d’un bénéfice net de 24,6 millions d’euros, par rapport aux 12,1 millions d’euros dégagés en 2003. Avec des capitaux propres avant affectation du bénéfice de 206 millions d’euros, le total au bilan de la banque s’établissait à 2,261 milliards d’euros au 31 décembre 2004. En 2004, la banque a poursuivi avec succès sa croissance, les activités de financement structuré des échanges et le volume d’affacturage à forfait ayant atteint 3,3 milliards d’euros. Au cours de l’exercice 2004, Finansbank (Holland) N.V. a continué à diversifier la répartition géographique de ses actifs et à élargir sa base de clients ainsi que son portefeuille de produits. Onur Umut, Membre du Directoire Rapport du Directoire au Conseil de Surveillance L’année 2004 a été marquée par une hausse des investissements mondiaux sur les marchés émergents du globe au regard de la stagnation de certaines économies occidentales. Bien que l’économie américaine ait montré des signes de reprise vers la fin de l’année, avec des taux d’intérêt en hausse sur le dollar, il a été convenu d’une manière générale que les améliorations sur les fronts de la croissance et du chômage seraient retardées pour une durée indéterminée. L’Union européenne, pour sa part, est restée sur la pente descendante, avec les taux d’intérêt les plus bas de la décennie, ce qui n’a pas été suffisant pour propulser ses marchés vers l’optimisme puisque le chômage a même continué d’augmenter. On estime que l’extension à l’Est, concrétisée par l’adhésion de dix pays supplémentaires au cours de la première moitié de l’année, a poussé l’Union dans une sorte de ‘fatigue d’élargissement’, qui est venue alourdir le fardeau socio-économique que l’on espérait lever au cours de la prochaine décennie. Le marasme de longue date a été partiellement attribué aux marchés monétaires, sur lesquels le dollar américain déjà affaibli a perdu 20 pour cent de sa valeur par rapport à l’euro, en dépit de trois hausses des taux d’intérêt décidées par la Fed en cours d’année, alimentant ainsi la déception qui couvait auprès des exportateurs européens. Les marchés de commerce et de matières premières, sur lesquels la banque déploie ses activités, sont ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 19 restés optimistes avec des prix de l’énergie, des métaux et des matières premières atteignant des pics historiques. D’autres matières premières essentielles ont affiché, elles aussi, des tendances inflexibles à la hausse, qui ont résisté à l’inertie des économies développées. Ce phénomène de marchés des matières premières extrêmement compétitifs a été largement attribué à la croissance obstinément élevée du PIB (+ 6,5 pour cent) en République populaire de Chine, qui a servi de dynamo aux marchés des matières premières mondiaux. Associés aux prix des matières premières, les prix des transports sont restés durablement élevés alors que la capacité de transport mondiale est restée insuffisante. A l’occasion du 10ème anniversaire de sa création, Finansbank (Holland) N.V. a su montrer, par les résultats financiers affichés, le niveau auquel elle était arrivée. En 2004, alors qu’elle a maintenu efficacement la qualité de ses actifs et la satisfaction de ses clients, la banque a augmenté tant son volume de transactions que sa rentabilité pour les porter à des niveaux records. Le bénéfice net dégagé s’élevait à 24,6 millions d’euros, soit une hausse de 103 pour cent, les opérations de financement des échanges et le volume de l’affacturage à forfait ayant atteint 3,3 millions d’euros, soit une hausse de 32 pour cent par rapport a l’exercise précédent. Au même titre que la mise en œuvre conséquente des stratégies économiques et commerciales tout au long de l’année, la part des mesures prises dans la bonne direction au cours des années antérieures, est indiscutable. FBH, menée par des revenus d’intérêt nets, a enregistré des hausses considérables au niveau de toutes ses entrées de revenus en 2004, tout en parvenant à réduire ses dépenses non productives d’intérêt. Alors que les revenus d’intérêt nets ont augmenté de 31 pour cent pour passer à 37,1 millions d’euros, le revenu de commissions a enregistré une hausse de 16 pour cent pour se stabiliser à 13,3 millions d’euros, en ligne avec le volume croissant du financement des échanges. De même, les résultats des transactions financières, qui ont augmenté de 89 pour cent pour passer à 17,9 millions d’euros, ont contribué au résultat financier. Dans l’intervalle, la banque a été en mesure, grâce à un contrôle des coûts méticuleusement respecté et 20 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 des stratégies d’augmentation de la productivité, de réduire les dépenses non productives d’intérêt de 1,6 millions d’euros. En 2004, la banque a pris d’importantes mesures pour sécuriser une niche permanente sur des marchés locaux, sur lesquels elle avait fait une percée au cours d’exercices précédents. Tout en multipliant le nombre de clients et de produits sur tous les marchés locaux, elle a ouvert une nouvelle filiale dans le secteur roumain des crédits à la consommation. Au cours des années à venir, la société nouvellement créée Finans Servicii Financiare S.A. contribuera sans aucun doute à nos stratégies de diversification des risques et des services financiers aux particuliers. Au cours de l’année 2004, Finansbank (Holland) N.V., consciente de l’importance d’une gestion efficace et rentable des risques, a continué à renforcer la discipline de gestion des risques au sein des secteurs d’activités. La banque a augmenté ses investissements dans l’infrastructure technique ainsi que les ressources humaines pour améliorer ses fonctions de suivi et de mesure des risques. Ces efforts ont également fait partie intégrante des mesures prises pour mettre en œuvre l’accord de Bâle II sur les fonds propres. Interprétant le cadre de Bâle II comme un moyen de mettre en ligne les capitaux économiques et réglementaires, la banque considère la mise en œuvre de nouvelles normes d’adéquation des capitaux comme une occasion non négligeable d’améliorer le processus d’attribution des capitaux dans tous les secteurs d’activités basés sur leur rendement ajusté du risque. A cette fin, les efforts actuels de gestion des risques, entrepris par la banque, sont axés sur le développement d’un système visant à une conformité au Pilier 1 et au Pilier 2 ainsi que sur l’élaboration de méthodes de collecte et de modélisation des données pour des approches avancées. La banque s’est pleinement engagée à récolter les avantages que présentent des approches avancées dans le cadre de Bâle II pour une solide gestion des risques. Opérations financières structurées dédiées aux entreprises et marchés des matières premières Fidèle à la politique adoptée depuis son établissement, Finansbank (Holland) N.V. a conservé comme activité principale les opérations financières struc- turées dédiées aux marchés des matières premières. Au cours de l’année 2004, la banque a continué de se concentrer sur la satisfaction de sa clientèle, en proposant à cette dernière des services rapides et fiables ainsi que des solutions personnalisées. Les services ‘Transaction Collateral Management’ (Services connexes aux transactions) et ‘Corporate Trade Services’ (Services commerciaux aux entreprises) ont été créés dans le cadre de la Division ‘Corporate Banking’ (Services bancaires aux entreprises) afin de garantir aux clients un meilleur accès à la propriété et d’assurer, de ce fait, une plus grande satisfaction de la clientèle. De même, une nouvelle fonction d’assurance qualité a été ajoutée à nos procédures d’arrière guichet, afin d’assurer le maintien du niveau de qualité des services. En conséquence des stratégies mentionnées ci-dessus, le volume des opérations de financement des échanges, généré par le service ‘Services bancaires aux entreprises’ a augmenté de 127 pour cent pour atteindre 2,7 milliards d’euros. En outre, nos prêts en numéraire et hors numéraire ont atteint fin 2004 796 millions d’euros, soit une hausse de 65 pour cent par rapport aux chiffres de 2003. Dans le cadre de nos efforts entrepris en 2004 pour approfondir notre pénétration dans plusieurs secteurs et pour plusieurs matières premières, nous nous sommes concentrés tout particulièrement sur les fertilisants, les métaux et le pétrole. Depuis la fin de l’année 2004, nous sommes fiers de détenir une part essentielle dans le financement des transactions de ces matières premières, tout particulièrement dans les régions côtières de la Mer noire et les pays de la CEI. Malgré une hausse considérable de ses activités de financement des échanges, FBH a maintenu une approche prudente de la gestion des risques, comme en témoignent les efforts continus que nous avons entrepris pour évaluer avec une minutie toujours plus grande notre exposition en termes de matières premières, de pays et de contreparties. Les prix des matières premières et l’importance de différents secteurs industriels ont été suivis de près, et ce avec une fréquence accrue, dans les rapports par branche, matière première et secteur. Les principaux développements dans l’arène internationale ont également fait l’objet d’un contrôle minutieux afin de modérer les risques supportés par la banque aux différentes étapes des transactions de financement des échanges. Puisque nous avons élargi la diversification géographique de notre portefeuille de clients, nous avons surveillé avec soin les vicissitudes politiques dans certaines parties du monde, que nous jugions critiques. Chacun de nos services a intensifié sa présence sur de nombreux salons, foires commerciales, congrès et autres séminaires. D’autre part, les visites sur site chez les clients sont restées un outil essentiel dans les transactions de financement des échanges, afin de mieux évaluer les besoins de nos clients et de minimiser l’exposition de la banque aux contreparties. Au cours des derniers mois de l’année 2004, nous avons décidé d’établir officiellement un service de financement dédié au secteur maritime. Le secteur maritime et de la navigation est devenu plus familier à la banque qui le considère comme une extension naturelle du financement des échanges. FBH a décidé de servir les clients du secteur maritime à partir d’une organisation distincte, dans le cadre de ses services bancaires aux entreprises. La banque envisage de créer encore une autre niche qui, par essence, fonctionne parallèlement à nos secteurs d’activités clés. Les résultats de cette entreprise porteront leurs fruits en 2005 et au cours des années suivantes. Tout au long de l’année prochaine, la priorité première de la banque continuera d’être axée sur l’adoption d’une approche toujours plus flexible en vue de satisfaire aux besoins d’une clientèle d’entreprises exigeante, tout en maintenant une approche conservatrice de la gestion des risques. Etablissements financiers Notre stratégie de diversification géographique et de spécialisation dans des produits liés au financement des échanges s’est poursuivie tout au long de l’année 2004. C’est tout particulièrement sur l’Europe de l’Est, les pays de la CEI, le Moyen-Orient et l’Afrique du Nord, l’Asie centrale et du Sud que la banque a porté son attention durant cette période. Plus de 120 relations de crédit avec des banques et des établisse- ANNUAL REPORT 2004 • FINANSBANK (HOLLAND) N.V. 21 ments financiers ont été menées à bien sur ces marchés émergents. Au cours de l’année 2004, nous avons mis sur pied le Service ‘Global Trade Services’ (Services commerciaux mondiaux) afin de poursuivre l’amélioration de la qualité des services proposés à nos correspondants. La tâche principale de ce service consiste à se charger des transactions provenant de nos correspondants avec les plus grandes ponctualité et efficacité possibles. De même, nous avons proposé de nouveaux programmes de remise, des séminaires ainsi que des formations au niveau interne et externe, en vue de renforcer nos liens avec notre réseau international de correspondants en pleine expansion. En conséquence de ces efforts, le volume des activités de financement des échanges, généré par le Service Etablissements Financiers (F.I.) a atteint 0,6 milliards d’euros. D’autre part, la banque est devenue un acteur non négligeable sur les marchés de prêts syndiqués, de refinancement et de préfinancement dans les régions mentionnées ci-dessus. De façon similaire, notre Service Affacturage à forfait a réussi en 2004 à réaliser un volume de transactions de 619 millions d’euros et à augmenter son gain d’exploitation de 44 pour cent pour le porter à 1 million d’euros. En ce qui concerne la fonction de gestion des risques du Service F.I., la principale évolution durant l’année 2004 a été la mise en œuvre réussie de notre nouveau système de notation interne. Le nouveau système qui est utilisé pour évaluer à la fois les établissements financiers et les risques d’insolvabilité des Etats emprunteurs, ne manquera pas de renforcer la fonction de gestion des risques du Service d’Analyse des Crédits F.I. Banque de détail Au cours de l’année 2004, la banque a élargi et amélioré ses activités bancaires de détail sur différents fronts. La pénétration du marché roumain des crédits à la consommation et le lancement de nouveaux produits sur les marchés existants ont été des événements importants sur le plan commercial. En résultat de ces changements, notre portefeuille de crédits à la consommation a dépassé fin 2004 la barre des 50 millions d’euros. 22 FINANSBANK (HOLLAND) N.V. • ANNUAL REPORT 2004 Sur les fronts de l’efficacité et de la rentabilité d’exploitation, la banque a réussi à poursuivre l’automatisation de ses procédures d’arrière guichet et à réduire ses coûts suite à différents projets mis en place au cours des années précédentes. Dans la logique de ce changement, un pot commun de ressources humaines adaptable a été créé, lequel peut être déployé à travers un grand nombre de secteurs critiques de l’organisation. Sur les marchés des dépôts, la banque a continué à proposer des produits intéressants à sa vaste base de clients, tout en s’assurant la satisfaction de sa clientèle à tous les niveaux. Le maintien d’un centre ‘backoffice’ orienté sur la clientèle et la création de platesformes de self-service sont les résultats de cette approche. Une distribution rationnelle de nos produits restera le problème majeur pour l’année 2005 et pour les années qui suivront. En conséquence, nous envisageons d’établir en 2005 un nouveau groupe de ventes, qui sera tout particulièrement chargé du démarchage de nouveaux partenaires commerciaux. Evolution sur le plan organisationnel Nous avons mis en place en 2004 le Service ‘Business Development and Strategy’ (BDS – Développement et Stratégie d’Entreprise), auquel nous avons confié davantage de responsabilités et la tâche de remplacer le Service ‘Project Management and User Coordination’ (PMUC – Gestion de projets et Coordination Utilisateur). Outre les tâches traditionnelles de coordination de projets et de gestion de portefeuilles, le service BDS se concentre principalement sur l’évolution organisée de notre structure organisationnelle et tout particulièrement sur la rationalisation et l’automatisation des procédures d’entreprise, en vue d’améliorer nos performances globales. En 2005, le service BDS continuera de jouer un rôle clé dans notre processus de planification stratégique. Consciente du rôle important joué par nos ressources humaines dans le succès de la banque, notre direction a continué d’investir dans ses salariés. Des possibilités de formation officielles, proposées aux salariés et le lancement d’une gestion des performances guidée par les objectifs ont été les signes évidents de cette approche. Nos aspirations économiques et commer- ciales pour 2005 et les années suivantes porteront notamment sur le développement ultérieur de notre gestion des ressources humaines. Une normalisation à l’échelle de l’entreprise, des stages de gestion et des méthodes visant à développer davantage une culture participative parmi nos salariés seront les éléments clés de cette perspective. de soutien de nos actionnaires. Murat Başbay Sur le plan des technologies de l’information, notre stratégie pour les années 2005 à 2007 se concentrera sur le maintien d’une infrastructure TI sûre et fiable et l’exercice d’un effet de levier compétitif sur des secteurs d’activités grâce à une livraison accélérée de capacités logicielles. Afin de réaliser ces objectifs, le Service IT Infrastructure and Support (Infrastructure et Soutien TI) continuera de renforcer notre maîtrise des technologies de l’information conformément aux méthodes COBIT. Par ailleurs, un Service d’Ingénierie logicielle récemment mis en place adoptera et mettra en œuvre des méthodes de développement de logiciels agiles dernier cri. En 2005, nous avons l’intention de rechercher une architecture de logiciel encore plus soutenue et encore plus flexible. Nous sommes d’avis que les systèmes basés sur les règles économiques et commerciales et les architectures orientées sur les services s’avèreront être des outils technologiques prometteurs qui nous permettront de relever les défis d’un avenir proche. Forte d’une année 2004 très favorable, Finansbank (Holland) NV considère 2005 et les années suivantes avec une confiance méritée. La banque a fait preuve d’un succès triomphal au niveau de ses performances financières au cours de ses onze années d’existence. Il n’y a aucun motif pour ne pas considérer les années à venir avec optimisme, car la banque va maintenir sa stratégie clé d’acteur de niche, déployant ses ressources en faveur d’une plus grande créativité et d’une plus grande flexibilité tant au niveau du financement structuré des échanges qu’au niveau des opérations financières dédiées aux marchés des matières premières et des crédits à la consommation. The balance sheets of foreign subsidiaries are translated at the year-end exchange rates and their profit and loss accounts are translated at the average rates for the year. The exchange rates are directly deducted from or added to group equity. Finansbank (Holland) N.V. was incorporated on February 24, 1994. Its shareholders are Finans International Holding N.V. (81%) and Finansbank (Suisse) S.A. (19%). Finansbank A.S., Turkey is the ultimate shareholder. General Except otherwise stated, assets and liabilities are recorded at cost, less any allowance deemed necessary. The effects of transactions and other events are recognized when they occur. Revenues and expenses are recognized in the year to which they relate. Premiums and discounts are accounted for in prepayments and accrued income or accruals and deferred income respectively, and are attributed to the accounting periods throughout the remaining terms of the underlying items. Loans Loans are generally shown at the principal amount. Loans are classified as doubtful as soon as there is any doubt about the borrower’s capacity to repay the principal. Where deemed necessary, an allowance for loan losses is determined on a per item basis, taking into account the value of collateral. The allowance for consumer loans portfolio is determined on a portfolio basis determined on historical loss experience. The allowances are recognized in provision for value adjustment to receivables in the profit and loss account. Financial instruments A financial instrument is accounted for as an asset or liability from the time the respective contractual rights or obligations accrue to the company. Whenever this ceases to be the case, a financial instrument is no longer recognized in the balance sheet. If the Bank has the right on the grounds of legal or contractual provisions and the intention to settle financial assets and liabilities net or simultaneously, they are netted off in the balance sheet. Interest-bearing Securities Investment activities Interest-bearing securities belonging to the investment portfolio are stated at redemption value after deduction of provision for doubtful debts. Basis of presentation The financial statements have been prepared in conformity with generally accepted accounting principles in the Netherlands (in accordance with Title 9 of Book 2, of the Netherlands Civil Code) and the recommendations as given by the Dutch Central Bank. Where necessary, the amounts reported in the financial statements are based on estimates and assumptions. Basis of consolidation The consolidated financial statements incorporate the assets, liabilities, revenues and expenses of Finansbank Holland N.V. and its subsidiaries that form an organisational and economic entity with it.
